The suspension of trading in the securities of BIR Financial Limited is expected to be lifted from the commencement of trading on Wednesday, 22 December 2021 following the release by BIR of an announcement confirming that a proposed transaction that will no longer be proceeding.

BIR Financial Limited is convening an Extraordinary General Meeting of shareholders to be held as a virtual meeting on 31 January 2022 at 11:00am (AEDT) (Meeting).

The company releases a letter to its shareholders. Following further negotiations with the proposed third party and discussions with the company's major shareholder, it will not be proceeding with the proposed transaction. The company will be convening a Special General Meeting of Shareholders to be held on 31 January 2022 to consider and approve the issue of a further 155,813,294 fully paid ordinary shares to a related party, Wagering Technologies, consequent upon the conversion notice served on the company by Wagering.

The company will not be proceeding with the issue of the convertible notes which was approved by shareholders at the Extraordinary General Meeting held on 3 November 2021.

On 25 October 2021 Moshav Custodian advised the Company that it had sold 4,000,000 convertible notes to Wagering Technologies. On the same day Moshav executed a Deed of Assignment, assigning its rights under the Convertible Notes to Wagering. The Conversion price of the Convertible Notes is $0.0242 per share. If all of the Convertible Notes were converted the conversion would result in the issue of 175,999,091 shares. On 25 October 2021 Wagering issued a conversion notice to the Company in respect of all of the Convertible Notes.

The securities of BIR Financial Limited will be suspended from quotation immediately under Listing Rule 17.2, at the request of BIR, pending the release of an announcement regarding a proposed transaction.

The suspension of trading in the securities of BIR Financial Limited will be lifted and the Company will be reinstated to Official Quotation at the commencement of trading at 10:00 AM AEST on Monday, 2 July 2018, following its re-compliance with Chapters 1 and 2 of the ASX Listing Rules. The Company raised $5,000,000 pursuant to the offer under its prospectus dated 5 April 2018 by the issue of 25,000,000 shares at an issue price of $0.20 per share.

The share sale agreement between the company, Pulse Markets and the shareholders of Pulse Markets has completed with the Company acquiring 100% of Pulse Markets Pty Ltd. BIR Financial Limited confirms the issue of the following securities: 25,000,000 ordinary shares at $0.20 per share under the General Offer; and 15,789,474 ordinary shares in consideration for the acquisition of Pulse Market under the Vendor Offer.
